Terms of Service for Bestie

These Terms of Service ("Terms") are a binding agreement between you and Cosalite Inc. ("Cosalite," "we," "us," or "our") governing your access to and use of the Bestie mobile application, related websites, and any related products, content, features, technologies, and services we make available (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, LIMITATIONS OF LIABILITY, WARRANTY DISCLAIMERS, AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You may use the Service only if:

  • you are at least 13 years old;
  • you have the legal capacity to enter into a binding agreement;
  • you are not barred from using the Service under applicable law; and
  • your use of the Service does not violate any applicable law or regulation.

By using the Service, you represent that you are at least 13 years old.

If you are under the age of majority in your jurisdiction but at least 13 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Bestie generally creates a pseudonymous account for your device automatically when you first use the Service. You are responsible for maintaining the security of your device and any locally stored account credentials or access tokens associated with your use of the Service.

The Service is not intended for children under 13.

Nature of the Service

Bestie is an AI companion service. The Service may allow you to exchange text, images, audio, and other content with AI systems; participate in voice experiences; receive personalized responses, suggestions, summaries, recaps, reflections, memories, and other outputs; and access premium subscriptions, virtual items, and related features.

Bestie is not a medical service, mental health service, healthcare provider, crisis service, legal service, financial advisor, or emergency service. The Service and any outputs are provided for informational, entertainment, and personal-use purposes only.

If you are experiencing a mental health crisis, emotional distress, or a safety emergency, please contact emergency services (911 in the U.S.) or the 988 Suicide and Crisis Lifeline (call or text 988 in the U.S.). Bestie is not a crisis service and cannot provide emergency support.

Bestie may invite you to share profile information and other personal content, including optional sensitive information such as personal sensitivities, emotional triggers, or topics you prefer to avoid. You are not required to provide this information to use the core features of the Service.

Bestie includes safety filters designed to limit inappropriate content; however, you may encounter AI-generated content that you find offensive or objectionable. We provide in-app tools to report AI responses or other content that violates our guidelines. We reserve the right to remove User Content or AI Outputs that violate our Terms or safety standards.

Voice features may allow you to record microphone input, participate in live voice sessions, receive voice outputs, and generate transcripts. By using voice features, you consent to the processing of your voice audio and related transcripts to provide the Service. You also acknowledge that voice interactions may be transcribed, stored as part of your conversation history, and, where we determine it is necessary, recorded, encoded, and stored as described in our Privacy Policy for service functionality, safety, support, quality, or improvement purposes.

Before you first use AI-powered features, Bestie presents an AI data-sharing disclosure in the app. By tapping the allow/continue control and using AI-powered features, you give Cosalite permission to transmit your messages, profile details, onboarding answers, preferences, sensitivities, conversation history, images, audio, voice content, transcripts, summaries, memories, related context, and related technical data to OpenAI and Google Gemini (Google) to provide AI chat, image understanding, transcription, voice features, safety review, personalization, and related AI functionality, as further described in our Privacy Policy.

Third-party AI service providers process data on our behalf to provide the Service. We configure and contract with these providers so they process data for service delivery and related support, safety, and reliability purposes on our behalf, and we require them to provide the same or equal protection for user data as stated in our Privacy Policy and required by applicable App Store Review Guidelines and law. Based on the provider settings and terms available to us, we do not permit them to use your personal data to train their general-purpose models. We also do not use your personal data or User Content to train general-purpose AI models of our own. We may, however, use personal data, User Content, and related service data to provide, maintain, personalize, support, safeguard, and improve Bestie, including for quality assurance, safety systems, moderation, abuse prevention, diagnostics, analytics, troubleshooting, and feature development. If our training practices materially change, we will update the Privacy Policy before the new practice applies.

Changes to the Service

We may modify, suspend, discontinue, restrict, or remove any part of the Service at any time, with or without notice, to the maximum extent permitted by law. This includes features, content, voice functionality, memories, recaps, subscriptions, virtual items, availability, compatibility, and supported devices or platforms.

We are not liable for any modification, suspension, discontinuation, unavailability, or loss of functionality, content, or features.

Accounts and Access

You may need an account to use some or all of the Service. You agree to provide accurate information and to keep any account credentials secure.

You are responsible for:

  • all activity under your account;
  • maintaining the confidentiality of your credentials and device access; and
  • promptly notifying us if you believe your account has been compromised.

We may refuse registration, reclaim usernames or identifiers, require reauthentication, or limit or terminate access at any time for any lawful reason.

You may request deletion of your account through the app or by contacting us. Requesting deletion initiates our account deletion process; deletion may not be immediate across all systems. We may retain certain information where reasonably necessary or permitted for legal compliance, security, fraud prevention, dispute resolution, enforcement, technical integrity, or backup retention, as further described in our Privacy Policy.

Acceptable Use

You may use the Service only for lawful, authorized, and intended purposes. You may not, and may not assist or permit others to:

  • violate any law, regulation, or third-party right;
  • use the Service in a way that is fraudulent, misleading, harassing, abusive, defamatory, obscene, infringing, threatening, or otherwise harmful;
  • exploit, endanger, or attempt to exploit minors;
  • use the Service to promote self-harm, violence, terrorism, abuse, hate, or unlawful activity;
  • upload or transmit malicious code, viruses, bots, spyware, or harmful material;
  • interfere with or disrupt the Service, servers, networks, or security features;
  • reverse engineer, decompile, disassemble, decode, or attempt to derive source code, underlying models, prompts, ranking methods, or non-public systems, except where prohibited by law;
  • scrape, crawl, harvest, index, mirror, or extract data, outputs, content, or metadata from the Service using automated means except as expressly authorized by us in writing;
  • use the Service to build, train, benchmark, fine-tune, or improve any competing product, model, dataset, or service;
  • circumvent usage limits, access controls, subscriptions, payment requirements, technical restrictions, or safety systems;
  • impersonate another person or misrepresent affiliation, identity, or origin;
  • use another user's account or access credentials;
  • submit content you do not have the right to submit;
  • upload or share content that infringes intellectual property, privacy, publicity, confidentiality, or other rights;
  • use the Service for emergency, clinical, diagnostic, or high-risk decision-making purposes; or
  • rely on the Service as a substitute for professional advice, treatment, or emergency services.

We may investigate, suspend, remove content, block access, or take any other action we deem appropriate in response to actual or suspected violations.

User Content

A. Your Content

You may submit, upload, transmit, import, record, or otherwise make available text, prompts, images, audio, links, profile information, messages, feedback, and other materials through the Service ("User Content").

You retain whatever ownership rights you may have in your User Content, subject to the rights you grant us in these Terms.

B. License to Cosalite

You grant Cosalite and its affiliates, service providers, successors, and assigns a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, process, analyze, transmit, display, perform, create derivative works from, and otherwise use your User Content for the following purposes:

  • providing, operating, maintaining, and improving the Service;
  • generating outputs and personalized experiences;
  • creating memories, summaries, recaps, reflections, and contextual features;
  • quality assurance, safety, moderation, abuse prevention, diagnostics, testing, support, analytics, and troubleshooting;
  • developing, refining, improving, personalizing, and supporting Bestie and related features, but not training general-purpose AI models on your personal data or User Content; and
  • complying with law and enforcing our rights and agreements.

This license continues for as long as reasonably necessary to operate the Service and our business, including for backup, compliance, dispute resolution, safety, enforcement, and legitimate archival purposes.

C. Your Responsibilities

You represent and warrant that:

  • you own or have all necessary rights to submit your User Content;
  • your User Content and use of the Service do not violate these Terms, any law, or any third-party rights; and
  • you have obtained any required consents from any person whose likeness, voice, image, personal information, or other rights are included in your User Content.

AI Outputs

The Service may generate responses, recommendations, summaries, insights, memories, recaps, voice outputs, transcripts, or other content ("Outputs").

You understand and agree that:

  • Outputs are generated by automated systems;
  • Outputs may be inaccurate, incomplete, offensive, biased, or inappropriate;
  • similar or identical outputs may be generated for other users;
  • Outputs do not constitute medical, mental health, legal, financial, or other professional advice; and
  • you are solely responsible for evaluating Outputs before acting on them.

You may use Outputs for your personal, non-commercial use of the Service, subject to these Terms and applicable law. We reserve all rights in the Service and underlying technology.

Privacy

Our Privacy Policy explains how we collect, use, and disclose information in connection with the Service, including what data is transmitted to third-party AI service providers to provide AI-powered features.

Subscriptions and Paid Features

A. Paid Services

Certain features of the Service may require payment, including auto-renewing subscriptions, premium access, coins, and virtual items.

B. Platform Billing

If you purchase through Apple, billing is handled by Apple, not Cosalite. Your purchase is subject to Apple's payment terms and platform rules in addition to these Terms. At this time, subscriptions and in-app purchases are billed through Apple.

C. Auto-Renewal

Payment will be charged to your Apple ID account at the confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription at any time through your Apple ID Account Settings. Cancellation takes effect at the end of the current billing period.

D. Cancellation and Refunds

You may manage or cancel subscriptions through your Apple account settings. Refunds, if any, are governed by Apple's policies, except where otherwise required by law.

Deleting your account does not automatically cancel an Apple subscription or stop Apple billing. If you have an Apple subscription, you must manage or cancel it separately through your Apple account settings.

E. Pricing and Changes

We may change subscription plans, pricing, features, benefits, or eligibility at any time to the maximum extent permitted by law. Such changes may apply prospectively and may be subject to platform rules.

F. No Price Protection

Unless required by law, you are not entitled to refunds, credits, or price protection for partially used billing periods, feature changes, promotional pricing, discontinued offerings, or unused virtual items.

Coins, Virtual Items, and Digital Goods

The Service may include coins, boosts, themes, icons, streak-related items, or other digital goods or virtual items ("Virtual Items").

You acknowledge and agree that:

  • Virtual Items are licensed, not sold;
  • Virtual Items have no cash value, are not currency, and are not redeemable for money or monetary value;
  • Virtual Items are non-transferable and may not be sold, traded, gifted, or exchanged except where expressly authorized by us;
  • we may modify, revoke, limit, discontinue, or replace Virtual Items at any time; and
  • loss of access to Virtual Items may occur if your account is suspended, terminated, deleted, or if the relevant feature is discontinued.

To the maximum extent permitted by law, we are not liable for loss or modification of Virtual Items.

Intellectual Property and Ownership

The Service, including all software, designs, interfaces, text, graphics, branding, logos, features, functionality, audiovisual materials, compilations, databases, and underlying technology, is owned by Cosalite or its licensors and is protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use our name, trademarks, logos, or branding without our prior written consent.

Limited License

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

If you download or use Bestie from Apple's App Store, this license is limited to use of Bestie on Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that Bestie may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where Apple permits it.

This license does not permit you to copy, distribute, modify, publicly display, publicly perform, sell, lease, sublicense, exploit, or otherwise use the Service except as expressly permitted by these Terms.

Feedback

If you submit ideas, suggestions, comments, feedback, or proposals regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, sublicensable right to use and exploit the Feedback for any purpose without restriction or compensation to you.

Third-Party Services and App Stores

The Service may integrate with or depend on third-party services, content, technology, or platforms. We do not control and are not responsible for third-party services.

If you access the Service through Apple's App Store:

  • these Terms are between you and Cosalite, not Apple;
  • Cosalite, not Apple, is solely responsible for the Service and its content;
  • these Terms do not provide usage rules for Bestie that conflict with the Apple Media Services Terms and Conditions, which you have had the opportunity to review;
  • Cosalite is solely responsible for maintenance and support for the Service as specified in these Terms or required by law, and Apple has no maintenance or support obligation;
  • to the maximum extent permitted by law, Apple has no warranty obligations with respect to the Service;
  • if the Service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the app, and to the maximum extent permitted by law Apple will have no other warranty obligation whatsoever;
  • Cosalite is responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a warranty failure, to the extent required by law;
  • Cosalite, not Apple, is responsible for claims relating to the Service or your possession or use of it, including product liability claims, legal or regulatory claims, and claims under consumer protection, privacy, or similar laws;
  • Cosalite, not Apple, is responsible for investigating, defending, settling, and discharging any third-party intellectual property infringement claim relating to the Service or your possession or use of it;
  • you must comply with all applicable third-party terms of agreement when using the Service, including any terms that apply to your device, network, data service, Apple ID, Apple services, and third-party services used with the Service; and
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, after you accept them, may enforce them against you.

Apple's standard Licensed Application End User License Agreement and the Apple Media Services Terms and Conditions also apply to your use of Bestie where applicable. If these Terms conflict with Apple's required minimum terms for App Store apps, Apple's required terms apply to the extent required by Apple.

Termination and Suspension

We may, with or without notice, suspend, restrict, disable, or terminate your access to some or all of the Service at any time for any reason, including if:

  • you violate these Terms;
  • we suspect fraud, abuse, unlawful conduct, or security risk;
  • your use creates risk, liability, or harm to us, users, third parties, or the Service;
  • we are required to do so by law or platform requirements; or
  • we discontinue the Service or any part of it.

You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination will survive, including provisions relating to ownership, licenses, disclaimers, limitations of liability, arbitration, class waiver, indemnity, and governing law.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. COSALITE AND ITS AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO REPRESENTATION OR WARRANTY THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • OUTPUTS WILL BE ACCURATE, COMPLETE, USEFUL, SAFE, OR APPROPRIATE;
  • ANY MEMORY, SUMMARY, RECAP, OR PERSONALIZATION FEATURE WILL PRESERVE OR CORRECTLY REFLECT PRIOR INTERACTIONS;
  • THE SERVICE WILL ALWAYS BE AVAILABLE, COMPATIBLE, OR SUPPORTED; OR
  • ANY DEFECT OR ERROR WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSALITE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CONTENT, BUSINESS, OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF COSALITE AND ITS AFFILIATES ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO COSALITE OR THROUGH THE SERVICE FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Cosalite and its affiliates, officers, directors, employees, agents, licensors, successors, assigns, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of any law or third-party right; or
  • your misuse of Outputs or reliance on the Service in violation of these Terms.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent preempted by U.S. federal law.

Nothing in this governing law clause limits any statutory rights you may have under the laws of your country of residence that cannot be contractually waived.

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND COSALITE TO RESOLVE MOST DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, NOT IN COURT.

A. Informal Resolution First

Before initiating arbitration, you and Cosalite agree to first attempt to resolve any dispute informally. You must send written notice of the dispute to [email protected] and by mail to:

Your notice must include your name, the email associated with your account, a description of the dispute, and the relief sought. If we cannot resolve the dispute informally within 30 days after notice, either party may initiate arbitration.

B. Scope

Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Cosalite will be resolved by binding arbitration on an individual basis.

C. Exclusions

Either party may bring an individual action in small claims court if it qualifies. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened infringement, misappropriation, or violation of intellectual property or other proprietary rights.

D. Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules then in effect, except as modified by these Terms. If AAA is unavailable, the parties will mutually select an alternative provider; if they cannot agree, a court will appoint one.

E. Location and Procedure

If you are a U.S. resident, arbitration may be conducted remotely, in the county where you reside, or in Delaware, at your election, if permitted by the arbitration rules. If you are not a U.S. resident, the arbitration will be conducted remotely or in Delaware, unless otherwise required by law.

F. Arbitrator Authority

The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction may decide issues relating to class action waiver enforceability.

G. Class Action Waiver

YOU AND COSALITE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, MASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

H. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND COSALITE WAIVE ANY RIGHT TO A JURY TRIAL.

I. Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days after first accepting these Terms. Your notice must include your full name and a clear statement that you wish to opt out of arbitration. If you opt out, the class action waiver in this Section will not apply where prohibited by law.

J. Severability

If any part of this arbitration agreement is found unenforceable, the remaining provisions will remain in effect, except that if the class action waiver is found unenforceable, then this Section 21 will be unenforceable in its entirety to the extent permitted by law.

Limitation Period

To the maximum extent permitted by law, any claim arising out of or relating to the Service or these Terms must be filed within one year after the claim arose, or it is permanently barred, unless a longer period is required by applicable law.

Export and Sanctions Compliance

You may not use or access the Service if doing so would violate U.S. export control, sanctions, or other applicable trade laws. You represent and warrant that:

  • you are not located in a country or region that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a terrorist-supporting country; and
  • you are not listed on any U.S. Government list of prohibited or restricted parties.

Miscellaneous

These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Cosalite regarding the Service and supersede prior or contemporaneous agreements relating to the subject matter.

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Section headings are for convenience only and do not affect interpretation.
